Terms of Service

HotelHinge is operated by TrueNote, LLC, a Delaware limited liability company doing business as HotelHinge ("HotelHinge," "we," "us," or "our"). These Terms of Service (the "Terms") govern your access to and use of the HotelHinge website, data, and subscription service (together, the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

HotelHinge is a subscription compilation of U.S. hotel transaction intelligence and property census data, sourced from public records and other lawfully accessible public sources. The Service provides facts and timelines (such as property identity, ownership, sales, refinancings, and development events) combined in our own original selection, coordination, and arrangement. Access to the full dataset requires a paid subscription. There is no free tier to the full dataset.

2. Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. The Service and a HotelHinge subscription are licensed for your own internal business use only and may not be shared across organizations.

3. Subscriptions & billing

Paid plans are billed through our payment processor, Stripe. Monthly plans renew monthly and annual plans renew annually until cancelled. Prices are as listed on our website and are stated in U.S. dollars, exclusive of any applicable taxes.

Cancellation & refunds

You may cancel at any time from your account or by contacting us. Cancellation stops future renewals; your access continues through the end of the paid period. Except where required by law, payments are non-refundable, and partial periods are not pro-rated. We may change pricing prospectively with notice before your next renewal.

4. Data rights & acceptable use

Your subscription grants you a limited, revocable, non-exclusive, non-transferable license to access and use the data for your own internal business purposes during your subscription. You may not, and may not permit any third party to:

• scrape, crawl, harvest, spider, or use any automated means or interface to access, extract, or copy the Service or any data, other than features we expressly provide;
• bulk download, systematically retrieve, or reconstruct all or a substantial part of the dataset;
• reproduce, republish, distribute, resell, sublicense, lease, or otherwise make the data available to any third party;
• use the data to build, train, populate, or improve any competing or derivative product, dataset, index, or model;
• remove, obscure, or alter any source attribution, notice, or proprietary marking;
• circumvent or attempt to circumvent any access control, rate limit, paywall, or security measure;
• use the Service in violation of any applicable law or any third party's rights.

We may rate-limit, suspend, or terminate access, and pursue all available remedies, for any actual or suspected misuse. These restrictions are contractual and apply independently of any other protection.

5. Intellectual property

The underlying facts in our database are not owned by anyone; they are discovered, not authored. Our compilation, however, is our original work: the selection, coordination, arrangement, entity-matching, deduplication, timeline structuring, written summaries, and presentation of those facts are protected by copyright and other rights, and are owned by TrueNote, LLC. The HotelHinge name, logo, and brand are our trademarks. All rights not expressly granted to you are reserved. Nothing in these Terms transfers ownership of the compilation or the Service to you.

6. How we build the data

We want to be clear about how the data is assembled, both for your confidence and as a statement of our practices:

• We compile facts (such as property identity, ownership, prices, dates, and parties) from public records and other lawfully accessible public sources.
• We do not access, scrape, copy, or derive our data from gated or subscription competitor databases, or from anything behind a login or paywall, and we honor applicable site terms and robots directives; we prefer official records, public filings, and press releases.
• We do not reproduce a source's creative expression or its selection and arrangement; narrative summaries are written in our own words, and transactions link to their original public source so you can verify them.
• Our value comes from aggregation, entity resolution, and timeline structuring across many sources, not from re-publishing any single source.
• We do not publish ratings, reviews, photos, or proprietary third-party operating metrics.

8. Limitation of liability

To the fullest extent permitted by law, HotelHinge and TrueNote, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenues, or data, arising out of or related to the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid to us in the twelve months before the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless TrueNote, LLC and its officers, members, and agents from any claim or demand arising out of your use of the Service or your breach of these Terms.

10. Term & termination

These Terms apply while you use the Service. We may suspend or terminate your access for any breach of these Terms. On termination, your license to access the data ends; the sections that by their nature should survive (including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) survive.

11. Changes

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above and, where appropriate, by notice. Your continued use after a change takes effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. The exclusive venue for any dispute that is not subject to arbitration or small-claims resolution will be the state and federal courts located in Delaware, and you consent to their jurisdiction.
